Deal Check

  • Duration: 2-4 weeks
  • Pressure-test key assumptions and terms in a for a deal being negotiated (e.g., synergies, risks, deal structure options, governance, etc.), review term sheets and MOUs, and recommend alternative approaches to option the deal
  • Can support in various stages – letter of intent, MOU, or during drafting of definitive agreements
  • Provide a structured expert opinion memo covering all key deal aspects, based on review of materials and 2-3 working sessions

Transaction Advisory

  • Duration: 1 month or more
  • Work with client core deal team and other advisors – lawyers, bankers, HR firms, etc – throughout deal negotiations
  • Can take ownership of 1-2 critical elements, e.g., overall deal structure and options, scope, synergies, governance structure and processes, transfer pricing
  • Develop and screen alternative deal options, assess analog deals, evaluate partner's JV track record, develop governance structure and financial terms, assess key risks, support client Board / investment committee review of deal, facilitiate partner negotiations, etc.
  • Bring experience with similar deals and proprietary Water Street tools, examples, etc.
